Terms of Service
The agreement between Taylor Estates Capital Inc. and your business for the use of tdw fleet intelligence.
In effect from November 4, 2026.
1. Who this is between
This agreement is between Taylor Estates Capital Inc., operating as tdw fleet intelligence ("we", "us") and the business that holds the account ("you"). We are based in British Columbia, Canada.
By using the service you agree to this. The person who opens the account must be authorised to agree to it on behalf of the business — which is why only an account Owner is asked to accept it.
2. What the service is
Software for tracking a small commercial fleet: fuel spend, service history, when each vehicle is next due, and — on a device plan — automatic kilometres and vehicle location from a plug-in device.
We will keep the service broadly as it is described on the day you subscribe. We may add to it and improve it. If we are going to take away something you are relying on, we will email you first.
3. Paying for it, and stopping
You pay per vehicle, per month, at the rate for the plan each of your companies is on. A plan belongs to a company — you buy it for a yard, not for one truck — so every vehicle in a company is on that company’s plan. The three plans are App (driver photo), Device (km only), Device + location.
- No contract and no minimum term. It is month to month.
- Cancel whenever you like, by telling us at info@tdwfleet.com. We will not ask you to give notice, and we will not keep billing you after you have asked us to stop.
- You pay for the month you are in. Cancelling part way through a month does not earn a refund of that month, and it does not get billed again after it.
- Prices carry an effective date. If we change one, the change applies from that date — it does not re-price a month you have already been billed for. We will email you before a price change takes effect.
- Prices are in Canadian dollars and exclude tax. Any payment figure shown in the product is before tax, and is marked that way.
If an invoice goes unpaid we will chase it by email before doing anything else. We will not delete your records for non-payment without telling you and giving you a chance to export them.
4. The device
On a device plan we supply a plug-in device and the SIM in it. Whether the device is sold to you or stays ours and is lent for the term is set out in your order, along with the upfront charge and what happens when you stop. Where your order says nothing, the device remains ours and you return it when your subscription ends; we pay for the SIM and the data while you are subscribed.
Installing it is plugging it into the vehicle’s diagnostic port. You are responsible for having it installed in vehicles you are entitled to install it in, and for the device’s physical safekeeping. A device that is lost, stolen or damaged in service is replaced at our cost; one that is lost or broken otherwise is chargeable.
5. Your records are yours
Everything you put into the service — your vehicles, your fuel and service history, your documents, your drivers’ records and everything the devices report — belongs to you. We hold it to run the service and for nothing else. We do not sell it, we do not use it to advertise anything, and we do not use it to build a profile of anyone.
You can take it with you. Ask us at info@tdwfleet.com and we will export it in a format you can read. That is true while you are a customer, when you cancel, and if we are the ones ending it.
You can have it deleted. Tell us and we will delete it, and we will offer you the export first. The one exception is the record of accepting these terms and the log of changes to notification settings, which cannot be edited or removed and which we keep for as long as the account exists — a record that can be revised is not a record.
The Privacy Policy sets out what is collected, who can see it and how long it is held. It is part of this agreement.
6. Telling your drivers — your obligation
This one is important enough to have a section of its own, because it is the obligation the product creates for you and it is not one we can discharge on your behalf.
If you install a tracking device in a vehicle somebody drives for work, you are collecting that person’s personal information. Under BC’s Personal Information Protection Act you must tell them: that it is happening, what is collected, and why. Covert tracking of an employee is not something this service is for.
You agree that:
- you will tell every driver of a tracked vehicle, before or when tracking starts, what is collected and why — there is a notice here you can print and hand out;
- you will use the location and driving information for running the fleet — dispatch, safety, maintenance, fuel, recovering a stolen vehicle — and not to monitor somebody’s personal life;
- you have the right to install a device in each vehicle you install one in, and the consent or authority you need to collect what it collects;
- you will give your drivers whatever notice their employment agreement or a collective agreement requires, which may be more than the statute requires.
If a driver, a regulator or anybody else brings a claim against us because you did not do these things, you will cover our costs of it. We are not giving you legal advice, and the notice we provide is a starting point rather than a compliance guarantee — if you are unsure, ask a lawyer who knows your workplace.
7. Using it properly
You agree not to:
- break the law with it, or use it to help anybody else do so;
- try to reach another customer’s records, or probe, scan or attack the service — if you find a security problem, tell us at info@tdwfleet.com and we will thank you for it;
- resell the service, or give access to somebody outside your business without telling us;
- share one login between people. Add them as their own person — it is what the roles are for, and a shared login makes every record of who did what untrue;
- automate the product in a way that is really a load test, or try to get round the caps on document reading and questions;
- upload something you have no right to upload, or anything malicious.
You are responsible for what the people on your account do with it, and for keeping their passwords safe. Tell us at once if you think a login has been compromised.
If something you are doing is damaging the service or putting other customers at risk, we may suspend the account. We will tell you why, and we will not delete anything without giving you a chance to export it.
8. Availability, and what is not promised
We will make reasonable efforts to keep the service available and to fix problems promptly. There is no uptime guarantee and no service credit. If that matters to your operation, say so before you subscribe and we will talk about it rather than leave you relying on a sentence in here.
The service is provided as is. We do not promise it is free of faults, and we do not promise it fits a particular purpose beyond what it is described as doing.
Two things in particular are not promises, and both are stated on the screens themselves:
- Service reminders are a tool, not compliance. Keeping a vehicle lawful, inspected and roadworthy is yours. A reminder that did not arrive is not a defence.
- Readings and extractions can be wrong. A document is read by software, a kilometre figure is only as complete as the readings behind it, and a location is only as good as a consumer GPS. Check anything you are going to rely on.
9. Limits on what we owe
Neither of us is liable to the other for indirect or consequential loss: lost profit, lost business, lost data where the other had a copy, or the cost of something not happening on time.
Our total liability to you for anything arising out of this agreement is capped at the fees you paid us in the twelve months before the claim. This cap is a placeholder pending legal review and may change in a future version, which you will be asked to accept.
Nothing here limits anything that cannot be limited by law — including liability for death or personal injury caused by negligence, or for fraud.
10. Ending it
You can stop at any time, as above. We can end this agreement by giving you thirty days’ notice by email, or immediately if you are in serious breach of it and have not fixed the breach after we asked.
Either way, we will export your records for you on request and will not delete them without telling you first. If we end it for convenience, we will refund any part of a month you have paid for and not used.
11. Changing these terms
This version is dated November 4, 2026. If we change these terms or the Privacy Policy in a way that matters, we will email the account owner and ask them to read and accept the new version before the dashboard carries on. Nothing in your fleet is hidden or deleted while that is outstanding, and nobody else on the account is interrupted.
If you do not want to accept a new version, tell us and cancel — you will not be billed for a month you did not use.
12. Which law, and where
This agreement is governed by the laws of British Columbia and the laws of Canada applicable in it. The courts of British Columbia, Canada have jurisdiction over any dispute about it.
Before going to court, write to info@tdwfleet.com. Almost everything is a conversation rather than a dispute.
13. The rest
- This agreement, the Privacy Policy, and your order are the whole of what is between us about the service.
- If a clause turns out to be unenforceable, the rest still stands.
- Not enforcing something straight away does not mean we have given it up.
- You cannot transfer this agreement without asking us. We may transfer it if the business is sold, and we will tell you if that happens.
- Notices to you go to the email address on the account. Notices to us go to info@tdwfleet.com.
